These terms and conditions of use (“Terms of Use”) govern your access to and use of the online interfaces, web applications, dashboards, and properties owned and controlled by Sun Panama Digital Ventures LLC, a Wyoming limited liability company operating under the brand name Adlexa (“Adlexa,” “Company,” “we,” “us,” or “our”), including the www.getadlexa.com website, and any associated mobile or software applications (collectively, the “Site” or “Platform”), as well as all software, pre-flight compliance tools, automated funnel crawlers, natural language processing engines, copy rewriters, audit dossiers, and background monitoring services available through the Site (collectively, the “Services”).
Adlexa is an unregistered brand name and operating division of Sun Panama Digital Ventures LLC. The terms “you,” “your,” and “User” refer to you individually, as well as any business entity, direct-to-consumer (D2C) telehealth practice, healthcare growth agency, or employer on whose behalf you are accessing or using the Site or Services.
PLEASE READ THIS SECTION CAREFULLY. THESE TERMS OF USE PROVIDE THAT ALL DISPUTES BETWEEN YOU AND SUN PANAMA DIGITAL VENTURES LLC (D/B/A ADLEXA) THAT IN ANY WAY RELATE TO THESE TERMS OF USE OR YOUR USE OF THE SITE OR SERVICES WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION. ACCORDINGLY, YOU AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT (INCLUDING IN A CLASS ACTION PROCEEDING) TO ASSERT OR DEFEND YOUR RIGHTS UNDER THESE TERMS OF USE. YOUR RIGHTS WILL BE DETERMINED BY A NEUTRAL ARBITRATOR AND NOT A JUDGE OR JURY. PLEASE REVIEW SECTION 17 (“DISPUTE RESOLUTION; ARBITRATION AGREEMENT”) FOR FULL DETAILS.
1.Privacy Practices & Data Handling
You agree that all information provided by you or scraped on your behalf in connection with the Site and Services shall be governed by the Adlexa Privacy Policy, which is hereby incorporated into and made an integral part of these Terms of Use. You acknowledge that Sun Panama Digital Ventures LLC utilizes third-party infrastructure providers, cloud database hosts (including Firebase/Supabase), authorized PCI-compliant payment processors, and Large Language Model (LLM) API providers to execute compliance scanning, report generation, and data storage.
2.Services Provided – B2B Software Tool Only; No Legal, Medical, or Regulatory Advice
Adlexa provides an automated software workflow and pre-audit preparation platform. The Platform executes automated text parsing, visual media analysis, policy trigger pattern matching against public ad network guidelines, compliance readiness scoring (0–100), policy-compliant copy rewrites, and continuous background monitoring (“Ad-Guard”) for telehealth verticals (including GLP-1 weight loss, TRT, Peptides, and HRT).
- No Legal Representation: The content, scorecards, flagged risk indicators, policy matches, and alternative copy rewrites generated by the Site are for informational and workflow automation purposes only. They do not constitute formal legal counsel, legal opinions, or regulatory guarantees. You should consult with qualified legal counsel specializing in healthcare and advertising law prior to committing ad spend or launching campaigns.
- No Doctor-Patient or Attorney-Client Relationship: No attorney-client, doctor-patient, or fiduciary relationship is formed between you and Sun Panama Digital Ventures LLC or Adlexa through your use of the Site or Services.
- Independent Operator Responsibility: You assume sole and exclusive responsibility for all advertising materials, landing pages, marketing funnels, medical claims, pricing disclosures, and promotional copy that you publish, run, or distribute across third-party media channels (e.g., Meta, Google, TikTok).
3.No Guarantee of Third-Party Approval or Account Security
While Adlexa’s algorithms match input data against a database of known FDA, FTC, ad network, and certification rules:
- No Guarantee of Approval: Use of Adlexa does NOT guarantee approval, clearance, certification, or account standing with any third-party ad network (including Meta and Google), payment gateway, merchant processor, or third-party certification body (including LegitScript or NABP).
- Ad Network Volatility: Third-party ad networks alter automated enforcement algorithms, policy interpretations, and manual review standards dynamically. Sun Panama Digital Ventures LLC accepts zero responsibility or liability for third-party decisions to reject ads, suspend ad accounts, freeze payment gateways, deny merchant processing, or assess non-refundable audit fees ($975+ per submission).
4.Eligibility & B2B Use Limitations
The Site and Services are designed exclusively for direct-to-consumer (D2C) telehealth brands, healthcare growth agencies, and corporate operators. By accessing or using the Site, you represent and warrant that:
- You are at least 18 years of age and possess the legal authority to bind yourself or the corporate entity you represent to these Terms of Use.
- You are accessing the Platform solely for commercial B2B marketing compliance, audit preparation, or agency management purposes, and NOT as an individual consumer seeking medical care or personal legal advice.
- You reside in and operate from a jurisdiction where use of the Platform is legal. Accessing the Site from jurisdictions where its contents or functionality are illegal or unauthorized is strictly prohibited.
5.Subscriptions, Pricing, Online Payments, & Cancellations
Sun Panama Digital Ventures LLC offers various Software-as-a-Service (SaaS) subscription plans and billing tiers as detailed on our Site's pricing page. By enrolling in a subscription, you authorize Sun Panama Digital Ventures LLC (and our authorized payment processing network) to charge your designated payment method for the applicable subscription fees on a recurring basis until cancelled.
YOUR SUBSCRIPTION IS CONTINUOUS AND WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD UNLESS YOU CANCEL PRIOR TO YOUR RENEWAL DATE. You may cancel your subscription at any time by logging into your account settings at www.getadlexa.com or by contacting support at [email protected]. Cancellation will take effect at the expiration of your current paid billing cycle.
ALL SUBSCRIPTION FEES, SCAN OVERAGE CHARGES, AND ONBOARDING FEES PAID TO SUN PANAMA DIGITAL VENTURES LLC ARE STRICTLY NON-REFUNDABLE. If you cancel your subscription, you will maintain access to your paid plan through the end of your current billing period, but no prorated refunds or credits will be issued for unused time or unused domain/scan allocations.
Sun Panama Digital Ventures LLC reserves the right to modify subscription pricing upon thirty (30) days' prior written notice (via email or dashboard alert). Continued use of the Services after the price adjustment takes effect constitutes your acceptance of the new pricing.
6.Account Registration, Passwords, & Security
To access the Platform, you must register for an account on www.getadlexa.com. You agree to provide true, accurate, current, and complete information regarding your business entity, work email, billing info, and domain ownership.
- Credential Security: You are solely responsible for maintaining the strict confidentiality of your account credentials (username and password) and for all activities, API requests, scans, and charges that occur under your account.
- Unauthorized Use: You must immediately notify Sun Panama Digital Ventures LLC at [email protected] of any actual or suspected unauthorized use of your credentials or breach of security. Sun Panama Digital Ventures LLC will not be liable for any losses caused by unauthorized access to your account.
7.User Submissions, Scanned Assets, & System Scrapers
You retain ownership of all ad copy, graphics, VSL transcripts, quiz funnels, landing page URLs, credentials, and documentation that you upload, paste, or submit to the Platform ("User Information"). By submitting User Information, you grant Sun Panama Digital Ventures LLC a worldwide, non-exclusive, royalty-free, fully paid-up license to use, host, store, execute NLP analysis on, and process such information solely to deliver the Services, generate compliance reports, and train or refine our internal rule engines.
When you enter a landing page URL or domain into Adlexa's funnel crawler, you explicitly grant Sun Panama Digital Ventures LLC authorization to use automated headless web browsers (e.g., Playwright, DOM scrapers) to crawl, render HTML/JS, extract visible text, analyze DOM structures, capture screenshots, and evaluate scripts across the target URL on your behalf. You represent and warrant that you own or have obtained all necessary licenses, permissions, and rights from the target domain owner to execute such automated scans.
You agree NOT to submit or transmit any User Information or URL content that:
- Contains malware, computer viruses, Trojan horses, spyware, or destructive code.
- Violates or infringes upon third-party copyrights, patents, trademarks, or trade secrets.
- Contains unauthorized Protected Health Information (PHI) under HIPAA without entering into a formal Business Associate Agreement (BAA) with Sun Panama Digital Ventures LLC.
8.Electronic Communications, Calls, & Text Messages
By creating an account or submitting contact details, you consent to receive electronic communications from Sun Panama Digital Ventures LLC via email, dashboard popups, and automated system alerts (e.g., Slack/Webhook integration notifications when "Ad-Guard" detects a drop in compliance score below 85).
You further agree that Sun Panama Digital Ventures LLC may send operational and transaction-related SMS text messages or phone calls to the mobile phone number provided. Message and data rates may apply. You may opt out of promotional SMS communications at any time by replying "STOP." You acknowledge that opting out of alerts may impair your ability to receive real-time "Ad-Guard" monitoring warnings.
9.Intellectual Property & Third-Party Trademarks
The Site, Services, codebases, dashboard layouts, NLP rule engines, 500+ trigger pattern databases, scoring algorithms, UI/UX designs, and PDF report formats are the exclusive property of Sun Panama Digital Ventures LLC and its licensors, protected under United States and international copyright, trademark, and trade secret laws. Except for the limited, revocable, non-transferable license granted to use the Platform in accordance with these Terms, no ownership rights are transferred to you.
Adlexa is an independent software brand of Sun Panama Digital Ventures LLC. All third-party trademarks, product names, logos, or brand names referenced within the Platform or marketing copy—including but not limited to Google, Meta, Facebook, Instagram, TikTok, LegitScript, NABP, Ozempic, Wegovy, Mounjaro, Zepbound—belong exclusively to their respective owners. Reference to or inclusion of these trademarks within Adlexa's software or rule sets does NOT imply endorsement, sponsorship, affiliation, or certification by such trademark holders.
10.AI Engine, Automated Rewrites, & Output Disclaimer
The compliance scores (0–100), risk flags (High/Medium/Low), and alternative copy suggestions provided by Adlexa are generated using automated algorithms and Large Language Models.
- Automated Rewrites Are Suggestions Only: Any "compliant copy rewrites" generated by Adlexa are algorithmic recommendations meant to reduce policy trigger density while attempting to preserve conversion intent. They do not guarantee advertising performance, conversion rates, or complete immunity from ad network reviews.
- Mandatory Human Review: You must review, vet, and approve all AI-generated copy rewrites prior to launching them in live ad campaigns.
11.DMCA Copyright Policy
Sun Panama Digital Ventures LLC respects the intellectual property rights of others. If you believe that any content hosted on or processed by the Site infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) by providing our Copyright Agent with the following information in writing:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material (e.g., URL link).
- Your address, telephone number, and email address.
- A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner.
12.Accuracy of Information & Site Modifications
Sun Panama Digital Ventures LLC does not warrant that the Platform will be uninterrupted, error-free, completely secure, or that all system bugs will be corrected. We reserve sole discretion to modify, suspend, update, or discontinue any feature, database trigger, UI layout, or API integration (including "Ad-Guard" monitoring cron frequencies) at any time without prior liability.
13.Third-Party Links & Integrations
The Platform may contain links or API connections to third-party websites, ad managers, or software applications. Sun Panama Digital Ventures LLC has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Accessing third-party tools is entirely at your own risk.
14.Disclaimer of Warranties
THE SITE, SERVICES, COMPLIANCE REPORTS, RISK SCORES, CRAWLERS, COPY REWRITES, AND PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITH ALL FAULTS, AND WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, SUN PANAMA DIGITAL VENTURES LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND QUALITY OF INFORMATION.
SUN PANAMA DIGITAL VENTURES LLC DOES NOT WARRANT THAT USE OF THE SERVICE WILL PREVENT AD ACCOUNT BANS, AD REJECTIONS, MERCHANT GATEWAY FREEZES, LEGITSCRIPT OR NABP DENIALS, OR REGULATORY FINES ASSESSED BY THE FDA, FTC, OR ANY STATE MEDICAL/PHARMACY BOARD. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THIS SITE, SERVICES, AND COMPLIANCE OUTPUTS.
15.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUN PANAMA DIGITAL VENTURES LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR COVER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST AD SPEND, BUSINESS INTERRUPTION, LOSS OF DATA, AD ACCOUNT SUSPENSION, PAYMENT GATEWAY FREEZES, OR NON-REFUNDABLE AUDIT FEES) ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE, SERVICES, CONTENT, CRAWLERS, AI OUTPUTS, OR THESE TERMS OF USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF SUN PANAMA DIGITAL VENTURES LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IF, NOTWITHSTANDING THE FOREGOING LIMITATIONS, SUN PANAMA DIGITAL VENTURES LLC IS FOUND LIABLE TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THE SITE OR SERVICES, THE TOTAL AGGREGATE LIABILITY OF SUN PANAMA DIGITAL VENTURES LLC TO YOU SHALL IN NO EVENT EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES ACTUALLY PAID BY YOU TO SUN PANAMA DIGITAL VENTURES LLC IN THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100.00 USD), WHICHEVER IS GREATER.
16.Indemnification
You agree to defend, indemnify, and hold harmless Sun Panama Digital Ventures LLC, its members, managers, affiliates, officers, employees, contractors, agents, and licensors from and against any and all third-party claims, demands, liabilities, damages, losses, costs, expenses, and reasonable attorneys' fees arising directly or indirectly out of or in connection with:
- Your use or misuse of the Site, Services, compliance scorecards, or generated copy rewrites.
- Your publication or distribution of non-compliant ad copy, landing pages, or promotional funnels across Meta, Google, or other media networks.
- Any regulatory enforcement action, audit rejection, fine, or legal claim brought against you or Sun Panama Digital Ventures LLC by the FDA, FTC, Meta, Google, LegitScript, NABP, or state regulators relating to your marketing operations.
- Your breach of these Terms of Use or Privacy Policy.
- Your violation of any third-party intellectual property, privacy, or publicity rights.
17.Dispute Resolution; Binding Arbitration Agreement
You and Sun Panama Digital Ventures LLC agree to first attempt to resolve any dispute, claim, or controversy informally for a period of at least thirty (30) days before initiating formal arbitration proceedings. Informal dispute negotiations commence upon receipt of a written Notice of Dispute sent to [email protected] or mailed to our Sheridan, WY address.
Any dispute, claim, or controversy arising out of or relating in any way to these Terms of Use, the Privacy Policy, or your use of the Site or Services shall be determined exclusively by BINDING INDIVIDUAL ARBITRATION administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules.
YOU AND SUN PANAMA DIGITAL VENTURES LLC EXPRESSLY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON OR ENTITY'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. YOU AND SUN PANAMA DIGITAL VENTURES LLC EXPRESSLY WAIVE ANY RIGHT TO A TRIAL BY JURY.
Unless otherwise agreed, arbitration hearings shall take place in Sheridan, Wyoming, or remotely via video conference at the arbitrator's discretion. These Terms of Use shall be governed by and construed in accordance with the laws of the State of Wyoming, without giving effect to any conflict of laws principles.
18.Supplemental Terms Applicable to Healthcare Growth Agencies
If you enroll in an agency or multi-client subscription plan, or otherwise manage sub-accounts for third-party telehealth clients ("Agency User"):
- Client Authorization: You represent and warrant that you have obtained full legal authorization from each client brand to crawl their domains, upload their ad copy, execute compliance scans, and export PDF Audit Dossiers on their behalf.
- Agency Liability: Agency User agrees to indemnify and hold harmless Sun Panama Digital Ventures LLC against any third-party claims, ad account bans, or legal actions brought by Agency User's clients arising out of compliance reports, risk scores, or copy rewrites generated through Adlexa.
- White-Label Reports: White-labeled PDF audit reports generated under applicable agency plans remain subject to all legal disclaimers regarding "Software Tool Only / No Legal Advice" set forth in Section 2. You agree not to obscure or alter mandatory disclaimers included in exported dossiers.
19.Force Majeure
Sun Panama Digital Ventures LLC shall not be deemed in breach of these Terms or liable for performance failures, service interruptions, or delayed monitoring results caused by events beyond our reasonable control, including acts of God, war, terrorism, network/telecommunication failure, cloud outage (AWS/Google Cloud), LLM API outages, cyberattacks, or third-party ad network policy shifts.
20.Assignment, Severability, & Revisions
- Assignment: You may not assign or transfer these Terms of Use without prior written consent from Sun Panama Digital Ventures LLC. Sun Panama Digital Ventures LLC may freely assign or transfer its rights and obligations under these Terms.
- Severability: If any provision of these Terms is held invalid or unenforceable by an arbitrator or court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
- Entire Agreement: These Terms of Use and the Privacy Policy constitute the entire legal agreement between you and Sun Panama Digital Ventures LLC concerning the Site and Services.
- Revisions: Sun Panama Digital Ventures LLC reserves the right to update or modify these Terms at any time, effective upon posting to the Site. Your continued use of the Site following any update constitutes acceptance of the modified Terms.
